These Terms of Service ("Terms") govern your access to and use of EasyReloc (the "Service"). The Service is operated by EasyReloc, a company currently under formation in Spain ("EasyReloc", "we", "us"). Once incorporation is complete, this section will be updated with the registered company name, address, and tax identification number. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.

1. The Service

EasyReloc provides software tools designed for relocation agents to manage clients, documents, and deadlines. We may add, change, or remove features from time to time as the product evolves.

The Service is intended for use by professionals (relocation agents, agencies, and similar businesses) in connection with their professional activity. By using the Service, you represent that you are acting in a professional capacity and not as a consumer.

2. Beta status

The Service is currently in early access / beta. Features may change, be removed, or behave unpredictably without notice. Data loss, downtime, and bugs are possible. You acknowledge that the Service is not yet intended for mission-critical use, and you are responsible for maintaining your own backups of any critical data. During this period, the Service is provided without warranties of fitness, availability, performance, or data preservation.

3. Your account

You're responsible for maintaining the confidentiality of your credentials and for all activity under your account. Contact if you suspect unauthorized access. Accounts are personal — sharing your login with others is a breach of these Terms. You must be at least 18 years old and legally able to enter into a binding contract to use the Service.

4. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or regulation;
  • Upload or transmit content that infringes another party's rights, contains malware, or is unlawful, harassing, or deceptive;
  • Upload personal data of third parties (including your clients) without a lawful basis to do so under applicable data protection laws, including obtaining any required consents or notices;
  • Use the Service to provide legal, immigration, tax, or financial advice that you are not professionally qualified or authorized to provide;
  • Reverse-engineer, decompile, scrape, or attempt to disrupt the integrity, security, or performance of the Service;
  • Resell, sublicense, or otherwise commercialize access to the Service without our prior written permission;
  • Use the Service to develop a competing product or to benchmark its performance for publication without our prior written permission.

5. Your data and privacy

You retain ownership of the client and case data you upload to the Service ("Your Data"). You grant EasyReloc a limited, worldwide, non-exclusive, royalty-free license to host, store, process, and transmit Your Data solely as necessary to operate, maintain, and improve the Service for you.

When you upload personal data of third parties (such as your clients or their family members) to the Service, you act as the data controller and EasyReloc acts as the data processor under Regulation (EU) 2016/679 (GDPR) and Spanish data protection law. You are responsible for ensuring you have a lawful basis for the processing and for providing required notices to data subjects. The terms governing this processor relationship are set out in Section 6 (Data Processing Terms) below.

6. Data Processing Terms

This section applies when you upload personal data of third parties (your clients, their family members, or other case subjects) to the Service. It constitutes the data processing agreement required under Article 28 of the GDPR between you (as controller) and EasyReloc (as processor).

Subject matter and duration. EasyReloc processes personal data on your behalf to provide the Service, for as long as your account is active.

Nature and purpose. Hosting, storing, organizing, retrieving, and displaying personal data within the Service so that you can manage your relocation cases.

Categories of data and data subjects. Personal data of your clients, their family members, and other individuals connected to your relocation cases — including identification data, contact details, immigration and residency information, family composition, and any documents you upload.

Your responsibilities as controller. You are responsible for ensuring you have a lawful basis for the processing, for providing required notices to data subjects, and for the accuracy and lawfulness of the data you upload.

Our obligations as processor. We will:

  • Process personal data only on your documented instructions, including with regard to international transfers, unless required to do otherwise by EU or Member State law (in which case we will inform you);
  • Ensure that personnel authorized to process the data are bound by confidentiality;
  • Implement appropriate technical and organizational security measures, as described in our Privacy Policy;
  • Assist you, taking into account the nature of the processing, in responding to data subject requests and in fulfilling your obligations under Articles 32–36 of the GDPR;
  • Notify you without undue delay of any personal data breach affecting your data;
  • At your choice, delete or return all personal data to you at the end of our contract, subject to the export window described in Section 9 (Termination), unless EU or Member State law requires storage;
  • Make available to you information necessary to demonstrate compliance with this section, and allow for and contribute to audits, conducted by you or a mandated auditor, subject to reasonable notice and confidentiality protections.

Sub-processors. You authorize EasyReloc to engage sub-processors to provide the Service. A current list is available on request — contact . We will inform you of any intended changes concerning the addition or replacement of sub-processors, giving you the opportunity to object on reasonable data-protection grounds. We will ensure each sub-processor is bound by data protection obligations equivalent to those set out in this section.

International transfers. Where we or our sub-processors transfer personal data outside the EEA, we will rely on appropriate safeguards under Chapter V of the GDPR, such as the European Commission's Standard Contractual Clauses.

Conflict. In case of conflict between this section and any other part of these Terms regarding the processing of personal data, this section prevails.

7. Intellectual property

The Service, including its software, branding, design, documentation, and content (excluding Your Data), is owned by EasyReloc or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes while your account is active and in good standing.

You may submit feedback, suggestions, or ideas about the Service ("Feedback"). You agree that we may use Feedback freely, without restriction or compensation, to improve the Service.

8. Subscription and payment

Some features of the Service may be offered free of charge during early access. We reserve the right to introduce paid plans, modify free tier limits, or discontinue free access at any time with reasonable notice.

Paid plans, when introduced, are billed in advance for the subscription period you select. Fees are non-refundable except where required by mandatory law. Fees are exclusive of applicable taxes (including VAT), which will be added where required. We may change pricing with at least 30 days' prior notice; changes apply to renewals after the notice period.

9. Termination

You may close your account at any time via the Service or by contacting .

We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts due, or if we reasonably believe your use poses a security, legal, or reputational risk. Where reasonable, we'll provide notice and an opportunity to cure.

Upon termination, you will have 30 days to export Your Data via the Service. After this period, we may delete Your Data, except where retention is required by law or pending legal proceedings. Provisions intended to survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any data will not be lost or corrupted.

EasyReloc is a software tool. We do not provide legal, immigration, tax, or financial advice, and nothing in the Service constitutes such advice. You are solely responsible for the professional services you provide to your own clients.

11. Limitation of liability

To the maximum extent permitted by law, EasyReloc and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, whether based on contract, tort (including negligence), or any other legal theory, even if advised of the possibility of such damages.

Our aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of (a) the fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (€100).

Nothing in these Terms limits liability that cannot be limited under Spanish law, including liability for fraud, gross negligence, or willful misconduct.

12. Indemnification

You agree to indemnify, defend, and hold harmless EasyReloc and its affiliates, officers, employees, and agents from and against any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from or relating to:

  • Your use of the Service in breach of these Terms;
  • Your violation of applicable law or any rights of a third party;
  • Your Data, including any claims by your own clients or other data subjects relating to data you uploaded to the Service;
  • Your professional services provided to your own clients.

13. Changes to these Terms

We may revise these Terms from time to time. Material changes (such as changes to fees, liability, indemnification, or termination rights) will be communicated by email or in-product notice at least 30 days before they take effect. Non-material changes (such as clarifications or formatting) take effect upon posting. Continuing to use the Service after the effective date means you accept the updated Terms. If you don't accept the changes, your sole remedy is to stop using the Service and close your account.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Kingdom of Spain, without regard to conflict-of-law rules. Any dispute arising out of or relating to the Service or these Terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.

Where mandatory consumer protection laws apply, this clause does not limit the rights granted to consumers under the laws of their country of residence — though, as set out in Section 1, the Service is intended for professional use only.

15. Severability and force majeure

If any provision of these Terms is found unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect, and the unenforceable provision shall be interpreted to give effect to its intent to the maximum extent permitted by law.

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including internet or telecommunications outages, third-party service failures, cyberattacks, governmental action, natural disasters, or labor disputes.

16. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and EasyReloc regarding the Service and supersede any prior agreements. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of our right to do so later.
